$300,000 (This salary range is commensurate with experience.)

Benefit Job Summary The General Counsel will serve as the chief
legal advisor for the company, overseeing all legal, regulatory,
and compliance matters. This role reports to the Chief Executive
Officer and provides strategic and practical legal guidance to the
executive team on project development, corporate structure,
financing, construction, transactions, operations, and risk
management as the company grows its portfolio of battery energy
storage systems (BESS) assets. Skills and Competencies Strategic
Business Partner: ability to align legal advice with commercial
strategy and risk tolerance. Deal-Oriented Mindset: skilled
negotiator with strong drafting and analytical skills.
Cross-Functional Leadership: Comfortable working closely with
development, finance, and operations teams. Execution-Driven:
Practical, proactive, and solutions-oriented approach suited to a

Excellent written and verbal communication, with board- and
investor-level clarity. Adaptability: Thrives in a lean
organization where responsibilities evolve as the business scales.
Responsibilities Corporate & Strategic Serve as a trusted advisor
to the CEO, Board, and executive team on all legal and strategic
matters. Develop and implement the company’s legal and compliance
framework, policies, and governance structure. Manage corporate
governance, board materials, minutes, and resolutions. Oversee
entity formation, ownership structures, and partnership / joint
venture agreements. Project Development & Contracting Lead
negotiation and drafting of project-level agreements, including: o
EPC, equipment supply (EMS, PCS, battery modules), and O&M
contracts o Land rights (leases, easements, options) and
interconnection agreements o Offtake agreements (RA, tolling,
capacity, or resource adequacy contracts) Support permitting,
environmental, and real estate diligence for project sites. Manage
legal aspects of M&A, project sales, and acquisitions. Finance
& Transactions Negotiate and document project financing (e.g.
construction, tax equity, back-leverage) and corporate credit
facilities. Oversee due diligence, disclosure schedules, and
closings. Work with outside counsel to manage transaction
efficiency, cost, and risk. Risk Management & Compliance Identify,
assess, and mitigate legal and regulatory risks. Ensure compliance
with energy market rules (CAISO, FERC, NERC, CPUC, etc.) and
applicable environmental and safety regulations. Manage insurance,
claims, and litigation matters. Develop internal compliance
training and risk management processes. Team & External Counsel
Management Oversee selection and management of outside counsel and
advisors. Build and lead a lean in-house legal function as the
company grows. Support cross-functional collaboration across
development, finance, operations, and asset management.
Requirements: Qualifications J.D. from an accredited law school;
active bar membership in at least one U.S. jurisdiction, ideally
California and/or Illinois. Minimum 10 years of legal experience,
preferably in the energy sector. Strong working knowledge of
corporate, real estate, commercial, environmental, and regulatory
law and transactions. Demonstrated expertise in project development
and finance, regulatory compliance, and complex contract
negotiation. Familiarity with ISO/RTO market structure,
interconnection process, and offtake contracting, particularly with
respect to energy storage, preferred. Experience managing outside
counsel and complex transactions. Deep understanding of renewable
energy and battery storage project development, construction,
financing, tax credit monetization and operation preferred. Prior
in-house counsel experience in a clean energy or infrastructure
company preferred. Work Conditions The General Counsel will be
based in Chicago, IL and may work in a hybrid arrangement with a
combination of in-office and remote work, but the candidate should
be prepared to be in the office regularly and for hybrid working
